1. Acceptance of Terms

By accessing and using OPSio' ship operations monitoring platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

OPSio provides a cloud-based platform for shore operators to monitor and manage ship operations, including voyage planning, daily reporting, port dues tracking, invoicing, claim monitoring, and bunkers monitoring.

3. Account Registration

3.1 Account Creation

To access our Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Upload viruses, malware, or other malicious code
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without authorization
• Use the Service to transmit spam or unsolicited messages

5. Subscription and Payment

5.1 Fees

Access to the Service requires payment of subscription fees as agreed in your contract with OPSio. All fees are quoted exclusive of applicable taxes unless otherwise stated.

5.2 Payment Terms

Payment terms will be specified in your subscription agreement. Late payments may result in service suspension.

5.3 Refunds

Refund policies will be detailed in your subscription agreement. Generally, subscription fees are non-refundable except as required by law.

6. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using our Service, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

7.1 OPSio Property

The Service, including all content, features, functionality, software, and design, is owned by OPSio and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of any data or content you upload to the Service. By uploading content, you grant OPSio a license to use, store, and process your content solely to provide the Service.

8. Service Availability

While we strive for 99% uptime, we do not guarantee that the Service will be available at all times. We may perform maintenance, updates, or modifications that temporarily affect availability.

9. Limitation of Liability

To the maximum extent permitted by law, OPSio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Indemnification

You agree to indemnify and hold OPSio harmless from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, for violation of these Terms or for any other reason. You may terminate your account by contacting us in accordance with your subscription agreement.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Vietnam, except where prohibited by law.
